Terms of Use

Effective date: October 18, 2026

Acceptance of these terms

These Terms of Use ("Terms") are an agreement between you and QSO Technologies LLC, a Florida limited liability company ("QSO Technologies," "we," "us" or "our"). They govern your use of our website at qsotechnologies.com (the "Site") and our web application, Appliance Super Intelligence, at app.appliancesuperintelligence.com (the "App"). Together we call the Site and the App the "Services."

If you visit the Site, you agree to these Terms by using it. If you use the App, you accept these Terms when you sign up, by checking a box or by continuing after being told that continuing means you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services. If you use the Services on behalf of a company or other organization, you agree to these Terms on its behalf and confirm that you have authority to do so.

Eligibility

The Services are intended for business use. You must be at least 18 years old and able to form a binding contract to use them.

Scope of these Terms

These Terms cover both the Site and the App. If you or your organization signs a separate customer agreement with QSO Technologies, that agreement controls where it conflicts with these Terms. Our Privacy Policy explains how we handle personal information, and our Cookie Notice explains how we use cookies.

Accounts

Some features require an account. You agree to provide accurate information, keep it up to date, keep your sign-in credentials confidential, and tell us promptly at hello@qsotechnologies.com if you believe your account has been accessed without authorization. You are responsible for activity that occurs under your account. Sign-in is handled by our authentication provider, Clerk.

Acceptable use

You agree not to:

  • use the Services in violation of any law or the rights of others;
  • upload content you do not have the right to share, or content that is unlawful, harmful or infringing;
  • attempt to gain unauthorized access to, interfere with, or disrupt the Services or related systems;
  • probe, scan or test the vulnerability of our systems, or bypass any security or access controls;
  • copy, scrape, reverse engineer, decompile or attempt to extract the source code, underlying methods or data of the Services, except where the law expressly permits it;
  • use the Services to build a competing product or service;
  • upload viruses, malware or other harmful code;
  • resell, sublicense or provide access to the App to others except as we permit;
  • misrepresent your identity or affiliation.

Customer content

You keep ownership of the content you upload to the App, such as appliance invoices and specification data, and the project materials created from it ("Customer Content"). You give us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, display and transmit Customer Content only as needed to provide, secure and support the App for you, and as otherwise described in our Privacy Policy or any separate customer agreement. You are responsible for your Customer Content and confirm that you have the rights needed to upload it and let us use it as described.

Feedback

If you send us suggestions, ideas or other feedback, you agree that we may use it freely and without any obligation to you.

Intellectual property and trademarks

The Services, including their software, design, text, graphics and other content (other than Customer Content), are owned by QSO Technologies or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose, subject to these Terms. All rights not expressly granted are reserved.

QSO Technologies, Appliance Super Intelligence and related names and logos are trademarks of QSO Technologies LLC. You may not use our trademarks without our prior written permission. Other trademarks belong to their respective owners.

Important: reports are informational aids only

Appliance schedules, trade reports (including electrical, plumbing/water and gas reports), project decisions, combined PDFs and other outputs of the App are informational aids only. They do not replace manufacturer installation instructions, specifications or warranty requirements; applicable building, electrical, plumbing, gas or other local codes; the work and judgment of licensed trade professionals; or the review of inspectors, engineers or other qualified professionals.

Outputs depend on the information provided and on manufacturer information that can change at any time, and they may be incomplete, out of date or contain errors. You must verify every output against the manufacturer's current documents and applicable codes before relying on it for any purchase, design, installation or other decision. You are solely responsible for your decisions and for the work performed on any project. Never use an output as a substitute for professional advice, inspection or permitting.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT OR COMPLIANT WITH ANY CODE OR MANUFACTURER REQUIREMENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QSO TECHNOLOGIES AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, OR FOR COSTS OF REWORK, DELAY OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID QSO TECHNOLOGIES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnity

You agree to defend, indemnify and hold harmless QSO Technologies and its members, managers, employees and contractors from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your Customer Content, your reliance on any output, or your violation of these Terms or of any law or third-party right.

Third-party links and services

The Services may link to or rely on third-party websites and services, such as Clerk for sign-in, Google sign-in and Amazon Web Services for hosting. We do not control and are not responsible for third-party websites or services, and your use of them is subject to their own terms and policies.

Termination

We may suspend or end your access to the Services at any time if we believe you have violated these Terms, if needed to protect the Services or others, or if required by law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including those on customer content, feedback, intellectual property, the reports disclaimer, disclaimer of warranties, limitation of liability, indemnity, governing law, and dispute resolution and arbitration.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute that is not subject to arbitration under the next section will be brought only in the state or federal courts located in Orange County, Florida, and you and we consent to the jurisdiction of those courts.

Dispute resolution and binding arbitration

Please read this section carefully. It affects how disputes are resolved and waives your right to a jury trial and to participate in a class action.

Informal negotiation first. Before starting arbitration, the party with a dispute must send the other a written notice describing the dispute and the relief requested. Notices to us go to hello@qsotechnologies.com; notices to you go to the email address associated with your account or that you used to contact us. You and we will try in good faith to resolve the dispute informally for 30 days after the notice is received. If it is not resolved within that time, either party may start arbitration.

Arbitration. You and QSO Technologies agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or its Commercial Arbitration Rules, whichever applies. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction.

Fees. Payment of filing, administrative and arbitrator fees will be governed by the AAA rules. For a claim of less than US$10,000 that is not frivolous, QSO Technologies will pay the filing, administrative and arbitrator fees to the extent they exceed what you would have paid to file the claim in court.

Jury trial waiver. You and we each waive any right to a jury trial for any dispute arising out of or relating to these Terms or the Services.

Class action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any form of class or representative proceeding.

Severability of the class action waiver. If the class action waiver is found unenforceable for any claim, that claim will be decided only by the state or federal courts located in Orange County, Florida, and never in class arbitration. The rest of this section will remain in effect.

Small claims. Either party may instead bring an individual claim in small claims court, as long as the claim qualifies and stays in that court.

Your right to opt out. You may opt out of this arbitration agreement by emailing hello@qsotechnologies.com within 30 days after you first accept these Terms. For App users, that 30-day period starts when you accept these Terms at sign-up. Your email should include your name, the email address associated with your account (if any), and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in the courts described under "Governing law and venue."

Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and change the effective date above. If we make material changes, we will provide additional notice where appropriate. Your continued use of the Services after the changes take effect means you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy, Cookie Notice and any separate customer agreement, are the entire agreement between you and us about the Services.
